Changes in the Supervisory Board of Adtran Networks SE

Munich, Germany. June 22, 2023. Adtran Networks today announced that the Chairwoman of the Supervisory Board, Prof. Dr. Johanna Hey, has informed the Company that she will resign from her position as a member of the Supervisory Board and as Chairwoman for private reasons with effect from June 30, 2023. Prof. Dr. Johanna Hey has been a member of the Supervisory Board since May 16, 2011. She has held the office of Chairwoman of the Supervisory Board since September 21, 2022.
The Deputy Chairman, Mr. Frank Fischer, and the other Supervisory Board member, Dr. Eduard Scheiterer, remain on the Supervisory Board. The Supervisory Board continues to have a quorum.
An application has already been made for the Supervisory Board of the Company to be supplemented by a court. In this case, the court decides freely and independently on the appointment. However, the Executive Board has decided to propose Ms. Heike Kratzenstein, CEO of Asmodee Holding GmbH, to the court as a candidate for the Supervisory Board. The remaining members of the Supervisory Board and Adtran Holdings, Inc., as majority shareholders, expressly endorse this proposal.
The Supervisory Board will then elect a new Chairperson in due course.
