Assembly Biosciences Announces the Closing of its Offering of Common Stock and Full Exercise of the Underwriters’ Option to Purchase Additional Shares

INDIANAPOLIS and SAN FRANCISCO, July 16, 2018 (GLOBE NEWSWIRE) -- Assembly Biosciences, Inc. (Nasdaq:ASMB) (“Assembly”), today announced the closing of its previously announced underwritten public offering of 4,600,000 shares of its common stock to the public at $36.00 per share, which included the exercise in full by the underwriters of their option to purchase 600,000 additional shares of common stock. The gross proceeds to Assembly from this offering were $165.6 million, before deducting underwriting discounts and commissions and other estimated offering expenses payable by Assembly. Assembly intends to use the net proceeds from the sale of the common stock to fund clinical trials, nonclinical studies, research and development and for general corporate purposes. 

Jefferies LLC, Leerink Partners LLC, William Blair & Company, L.L.C. and Mizuho Securities USA LLC acted as joint bookrunning managers for the offering. Robert W. Baird & Co. Incorporated acted as lead manager, and National Securities Corporation acted as co-manager for the offering.
