Langsigtet aktiebaseret incitamentsprogram for 2025/26

I henhold til Bang & Olufsens A/S’ vederlagspolitik har Bestyrelsen godkendt det langsigtede aktiebaserede vederlagsprogram for 2025/26. Programmet består af betinget aktievederlag til direktionen, nøglemedarbejdere og visse andre medarbejdere.

Minimum 50% af de betingede aktier er performanceaktier, der optjenes i lige store trancher over de tre regnskabsår 2025/26, 2026/27 og 2027/28 afhængigt af opnåelsen af visse KPI'er der fastlægges af bestyrelsen for hvert af regnskabsårene. KPI-målene for 2025/26 vedrører Bang & Olufsen A/S' omsætning, EBIT (før særlige poster) og frit cash flow.

De resterende aktier er fastholdelsesaktier, som er betinget af deltagernes fortsatte ansættelse i Bang & Olufsen koncernen, samt tilfredsstillende medarbejder performance evaluering i løbet af treårsperioden. Fastholdelsesaktierne optjenes ligeledes i tre lige store trancher over perioden.

Det maksimale antal aktier, som deltagerne kan modtage i henhold til programmet, er 5.726.723. Optjente aktier vil blive frigivet efter generalforsamlingens godkendelse af årsrapporten for 2026/27, idet optjening og frigivelse dog kan fremrykkes i visse ekstraordinære tilfælde som beskrevet i selskabets vederlagspolitik.

Baseret på den volumenvægtede gennemsnitskurs af selskabets aktier handlet på Nasdaq Copenhagen på de tre følgende dage siden offentliggørelsen af årsrapporten for 2024/25, kan den samlede værdi af de betingede aktier for samtlige deltagere per dags dato udgøre i alt DKK 38,4m under forudsætning af opfyldelse af de forudsatte resultatmål.
