Compleo finalizes acquisition of innogy eMobility Solutions GmbH

Dortmund, January 12, 2022. Compleo Charging Solutions AG ("Compleo" or the "Company") has announced the completion of an agreement signed at the end of October to purchase 100% of the shares in innogy eMobility Solutions GmbH ("ieMS"). Finalization of the acquisition means that Compleo has successfully completed another step in the already initiated integration of ieMS and its e-mobility software services into the Compleo Group. The integration includes taking over the entire ieMS workforce and all of ieMS's customer relationships as well as its subsidiary in the United Kingdom. The Company will report ieMS as a wholly owned subsidiary starting on 1 January 2022.

The scheduled closing of the agreement and transfer of the cash portions of the purchase price also mean that E.ON SE, ieMS's previous shareholder, will have an equity interest in Compleo based on the issuance of new shares via a capital increase from authorized capital. Compleo increased its share capital by 200,000 shares for this purpose. After the capital increase, Compleo's share capital totaled EUR 5,069,785.

Compleo has been successfully pursuing an inorganic growth strategy, which included the takeover of wallbe GmbH (now Compleo Connect GmbH) in the first half of 2021, and has set its sights on becoming Europe's leading provider of full-service charging technologies at its Dortmund location.
