Publication of a transparency notification in accordance with Article 14, first paragraph of the Law of 2 May 2007 on disclosure of major holdings.

1.            Summary of the notifications

Campine NV received a notice from F.W. Hempel & Co Erze und Metalle (GmbH & Co) KG stating that on 29 November 2018 its shares as well as the shares of Hempel GmbH have been contributed to a family foundation under German law carrying the name F.-W. Hempel Familienstiftung. As a consequence this foundation became part of the chain of control of Campine NV.

F.-W. Hempel Familienstiftung holds therefore indirectly 71,86% of Campine NV’s voting rights so that the threshold of 70% was exceeded. Mr. Friedrich Wilhelm Hempel remains the ultimate controlling shareholder with 71,68% of Campine NV’s voting rights.

2.            Content of the notification in respect of Camhold NV

Respectively the acquisition or the transfer of the control over a company that holds a participation in Campine NV.

The persons subject to the notification requirement are:

Mr. Friedrich-Wilhelm Hempel as controlling person on the one hand, and the companies Hempel Special Metals Holding GmbH , F.W. Hempel Metallurgical GmbH, F.W. Hempel Metallurgical Holding GmbH and F.W. Hempel & Co. Erze und Metalle (GmbH & Co) KG and finally the foundation F.-W. Hempel Familienstiftung through which he holds the participation in Campine NV, on the other hand.

The transaction date is 29 November 2018.

There is no change in the number of shares in Campine NV held by the companies in aforementioned chain of control and who are effectively the shareholder of Campine NV. Mr. Friedrich-Wilhelm Hempel was and remains the ultimate controlling shareholder of this group.

Hempel Special Metals Holding GmbH is a subsidiary of F.W. Hempel & Co. Erze und Metalle (GmbH & Co) KG above which now came the F.-W. Hempel Familienstiftung.

F.W. Hempel Metallurgical GmbH is controlled by F.W. Hempel Metallurgical Holding GmbH SA which in its turn is controlled by F.W. Hempel & Co Erze und Metalle (Gmbh & Co) KG above which there is now the F.-W. Hempel Familienstiftung.
