Referat af ordinær generalforsamling 2023



København, 19. april 2023



På cBrains ordinære generalforsamling onsdag den 19. april 2023 blev:

        

  • Bestyrelsens beretning godkendt, Årsrapport 2022 godkendt og bestyrelsens forslag om et udbytte på DKK 0,21 per aktie vedtaget.



  • Henrik Hvidtfeldt og Lisa Herold Ferbing genvalgt til bestyrelsen.



  • EY valgt som uafhængige revisorer.



Generalforsamlingen godkendte endvidere bestyrelsens forslag til:

  • Vederlagsrapport 2022.

    Bestyrelsen noterede, at en række aktionærer har stemt imod vederlagsrapporten. På den baggrund har bestyrelsen besluttet at tage vederlagspolitikken og vederlagsrapporten op til drøftelse med henblik øge transparensen.

  • Fastholdelse af bestyrelseshonorarets størrelse.



  • Ændring af vedtægternes punkt 5.1 (ejerbogsfører), 9.10-11 (sprog), 11.1 (valgperiode for bestyrelsesmedlemmer) samt 11.2 (udpegning af næstformand).



  • Bemyndigelse til bestyrelsen om at måtte erhverve egne aktier op til 10% af aktiekapitalen til den på erhvervelsestidspunktet gældende kurs plus minus 10% godkendt.





Der blev ikke på generalforsamlingen oplyst forhold, der ikke tidligere er blevet offentliggjort.
