DATAGROUP Sets the Course for Future Growth and Stability

Pliezhausen, September 28, 2021. DATAGROUP SE (WKN: A0JC8S) is reshuffling its Management Board for the time after Max H.-H. Schaber. Mr. Schaber will resign from office at the end of the 2022 Annual General Meeting and will stand for election to the Supervisory Board during the Annual General Meeting. Heinz Hilgert, the present Chairman of the Supervisory Board will stand for reelection. Dr. Carola Wittig will retire from the Supervisory Board at the end of the 2022 Annual General Meeting according to schedule. Andreas Baresel will succeed Max H.-H. Schaber in his role as Chief Executive Officer from the end of the 2022 Annual General Meeting.

Peter Schneck, the present Chief Officer Investor Relations, M&A and Legal Affairs will leave the company as of September 30, 2021. With effect of October 1, 2021, Oliver Thome will take office as new Chief Financial Officer. From April 1, 2022, the Board will be expanded by Dr. Sabine Laukemann as Chief Officer Human Resources, Strategy and Organization. Dirk Peters, Chief Officer Sales & Marketing since 2008, will step down from his role on health grounds as of September 30, 2021, and will retire from the Management Board of DATAGROUP SE.

With effect of April 1, 2022, the new Management Board will consist of one external and two internal candidates and will have a streamlined structure in line with the corporate size. With this extensive reorganization of the Board, DATAGROUP will set the course for the successful further development on the basis of continuity and new momentum from outside.

MAX H.-H. SCHABER, FOUNDER AND CURRENT CEO OF DATAGROUP SE WILL RETIRE FROM THE BOARD AT THE END OF THE 2022 ANNUAL GENERAL MEETING.

In 1983, Max H.-H. Schaber founded the predecessor company of DATAGROUP SE and has been Chairman and Chief Executive Officer of DATAGROUP SE ever since. Looking back on almost 39 years of operational activities for these companies, it was about time to provide for a well ordered and smooth transition to the next generation of management. For this reason, intensive efforts were made over the last few years to reshuffle the Management Board of DATAGROUP SE so as to continue the company's dramatic success story. Mr. Schaber will remain available to the company in his role as Supervisory Board member. It is planned that the main shareholder of DATAGROUP SE, HHS Beteiligungsgesellschaft mbH, will remain significantly invested in the long term as family holding of the Schaber family.
 

ANDREAS BARESEL TO BECOME NEW CHIEF EXECUTIVE OFFICER

Andreas Baresel has been a member of the DATAGROUP Management Board since 2018 as Chief Production Officer. He joined the company in 2012 as part of an acquisition. I have become familiar with DATAGROUP from different perspectives, first as head of a business unit, then as Managing Director, and most recently as member of the Board. Armed with the experience gained, I am now looking forward to contribute to the further growth of DATAGROUP in my new role as CEO", says Andreas Baresel.

MANAGEMENT BOARD TO BE EXPANDED BY OLIVER THOME

Beside the change of CEO, DATAGROUP will expand the Board by Oliver Thome. Oliver Thome had been Managing Director and Chief Financial Officer of Controlware, a mid-market provider of Managed Services. He brings to the Board a wealth of experience in management and finances in the IT environment.

"DATAGROUP has grown significantly since its IPO in 2006. I am happy I can add my experience to this role in the Board and support the company on its further growth path", Oliver Thome explains.
 

DR. SABINE LAUKEMANN TO BE APPOINTED TO THE MANAGEMENT BOARD

Dr. Sabine Laukemann will be responsible for human resources, strategy and organization in her role as a Board member. She has been with the company since 2003, initially as Head of Corporate Communications, as Managing Director of a predecessor company of today's DATAGROUP Consulting Services GmbH from 2015, and as Representative Director HR since 2018. During her career at DATAGROUP, she has been involved in numerous strategic projects, including the IPO in 2006, the development of the guidelines for business combinations ("100 Days DATAGROUP") and of the DATAGROUP 2020 and 2025 visions.

DIRK PETERS TO STEP DOWN FROM THE BOARD ON HEALTH GROUNDS

Dirk Peters, Chief Officer Sales & Marketing since 2008, will step down from his role on health grounds as of September 30, 2021. However, he will continue as Chairman of the Management Board of the very large and very successful market unit DATAGROUP Hamburg GmbH. This will ensure the stability of the Hamburg business and will unburden Mr. Peters to allow him to focus on his full recovery. DATAGROUP would like to thank Mr. Peters for the very successful and trusting cooperation since April 1, 2008. He has significantly shaped and driven forward the development of DATAGROUP together with the Management Board. We wish Mr. Peters a good recovery and continued successful work at DATAGROUP Hamburg.
 

PETER SCHNECK TO RESIGN FROM OFFICE AS OF SEPTEMBER 30, 2021

Peter Schneck, the present Chief Officer Investor Relations, M&A and Legal Affairs will resign from office as of September 30, 2021, to pursue other challenges in the IT industry. We would like to thank Peter Schneck for his commitment and wish him all the best and continued success for the future.
