DXC Technology Receives Early Termination of Hart-Scott-Rodino Waiting Period in Connection with Vencore and Keypoint Acquisitions, USPS Merger-Spin-off

DXC Technology (NYSE: DXC) has announced that on Dec. 22, 2017, the U.S. Federal Trade Commission (FTC) granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act) with respect to the previously announced pending acquisitions of Vencore Holding Corporation and KeyPoint Government Solutions and their merger combination with DXC’s U.S. Public Sector Business (USPS) in connection with the contemplated spin-off of USPS to DXC shareholders.

Information regarding the early termination is published on the FTC’s public website. The termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the pending transaction, which remains subject to the spin-off of the USPS business and other customary conditions.
