Notice of changes to shareholding and share capital of Northern Horizon Capital AS

Northern Horizon Capital AS, the management company of Baltic Horizon Fund, hereby provides notice of a change to its shareholdings and an increase in its share capital.

As the sole shareholder of Northern Horizon Capital AS, Northern Horizon Capital A/S, registered in Denmark (registration number CVR 27599397, at Christian IX's Gade 2, 1111 København K) decided to increase the share capital and issue new B class shares in the amount of EUR 13 899.

The B class shares were acquired by Northern Horizon Capital JIC OÜ (registration number 14341220), jointly owned by Northern Horizon Capital A/S and key staff members involved in the making of investment decisions for Baltic Horizon Fund. Northern Horizon Capital A/S now holds 90% of the share capital of Northern Horizon Capital AS, while Northern Horizon Capital JIC OÜ holds 10%.

Each B class share grants its shareholder 1/10th of a vote at the general meeting of Northern Horizon Capital AS and all rights as provided by the articles of association and the law. The general meeting may decide to distribute dividends differently to A and B class shares. The dividends for B class shareholders are distributed in the amount equal to the performance fees received by Northern Horizon Capital AS, based on Baltic Horizon Fund´s performance in the previous financial year.

The Estonian Financial Supervision Authority granted permission for shareholders to acquire qualifying holdings in Northern Horizon Capital AS in April 2018.
