Kalytera Therapeutics, Inc. Announces Second Closing of Public Offering

SAN FRANCISCO and TEL AVIV, Israel, May 14, 2019 (GLOBE NEWSWIRE) -- Kalytera Therapeutics, Inc. (TSX Venture: KLY) (OTCQB:KALTF) (the “Company” or “Kalytera”) is pleased to announce the second closing of its previously announced public offering (the “Offering”) of units of the Company (“Units”) for aggregate gross proceeds of CDN$1,617,500. Echelon Wealth Partners Inc. (“Echelon”) and Paradigm Capital Inc. (and together with Echelon, the “Agents”) acted as agents for and on behalf of the Company in connection with the Offering. Pursuant to the second closing of its Offering, the Company issued a total of 32,350,000 common shares in the Company (each a “Common Share”) and 32,350,000 Common Share purchase warrant (each whole warrant, a “Warrant”).  Each Warrant will entitle the holder thereof to acquire one Common Share at a price of CDN$0.065 (subject to customary adjustments for certain events) until April 26, 2022.

In connection with this second closing of the Offering, the Agents were paid a commission comprised of a cash fee in the aggregate amount of CDN$121,312.50 and were issued an aggregate of 2,426,250 broker warrants.  Each broker warrant is exercisable for one Common Share at a price of CDN$0.05 until May 13, 2021.
