KULR Announces Pricing of $900,000 Public Offering of Common Stock

SAN DIEGO, Dec. 20, 2023 (GLOBE NEWSWIRE) -- (NYSE American: KULR) (the "Company" or "KULR"), a global leader in sustainable energy management, today announced it has priced its underwritten public offering (the “Offering”) of 4,500,000 shares of its common stock at a public offering price of $0.20 per share. All shares of common stock in the underwritten public offering are to be sold by the Company. The Company expects to receive aggregate gross proceeds of $900,000 from the Offering, before deducting underwriting discounts and other offering expenses. In addition, the Company has granted the Underwriter a 30-day option to purchase up to an additional 675,000 shares of its common stock at the public offering price, less underwriting discounts. The Company expects to close the offering on December 22, 2023, subject to customary conditions.

KULR will use a portion of the net proceeds from this offering to repay certain amount owed to Yorkville and for general corporate and working capital purposes.

R.F. Lafferty & Co., Inc. is acting as the sole book-running manager for the offering.
