LHV Groupi täiendav teave oma aktsiate omandamise kohta

AS LHV Group viitab 25. aprillil 2025 avaldatud , milles kirjeldati aktsionäride 26. märtsi 2025 üldkoosoleku otsuse alusel nõukogu määratud tingimusi oma aktsiate omandamiseks ja esitab käesolevaga turule täiendavat teavet nende tingimuste rakendamise kohta. Vastavalt nõukogu määratud tingimustele alustab LHV Group oma aktsiate omandamist lisaks tavapärastele tehingutele ka plokktehingutena.

Plokktehingute puhul võib üksikutel kauplemispäevadel omandatavate aktsiate maht ületada 25% LHV Groupi aktsiate keskmisest päevasest kauplemismahust Nasdaq Tallinna börsil. Sellisel juhul ei kohaldu määruse (EL) nr 596/2014 („MAR“) artikli 5 lõikes 1 sätestatud erandid turu manipuleerimise ja siseteabe väärkasutamise keeldude osas ning vastavaid tehinguid hinnatakse MAR-i üldreeglite alusel.

Täiendava teabe avaldamise eesmärk on tagada turule täielik läbipaistvus aktsionäride ja nõukogu varasemalt otsustatud tingimuste kohaselt teostatavate plokktehingute suhtes.
