13 February 2020 Oslo, Norway: PGS ASA (the “Company”) announces that an extraordinary general meeting (the “EGM”) was held today at the Company's premises in Oslo. The EGM approved the share capital increase to issue 48,627,000 new shares (the “New Shares”) pertaining to the private placement, as announced on 22 January 2020, to raise gross proceeds of NOK 849,999,960 at a subscription price of NOK 17.48 per New Share (the “Private Placement”). It is expected that the share capital increase will be registered with the Norwegian Register of Business Enterprises on or about 14 February 2020, and that the Private Placement will be completed by delivery of New Shares against payment (DVP) on or about 17 February 2020.

With the approval of the share capital increase, the Company is on schedule to complete its earlier announced refinancing on or about February 18, 2020.

Following registration of the share capital increase pertaining to New Shares, the issued share capital of the Company will be NOK 1,161,620,988 comprising 387,206,996 shares, each with a nominal value of NOK 3.00. 

The EGM also approved a share capital increase pertaining to a subsequent offering of up to 5,120,000 new shares at a subscription price of NOK 17.48 per share for gross proceeds of up to NOK 89,497,600 million, as further announced on 22 January 2020 (the “Subsequent Offering”). Completion of the Subsequent Offering is subject to several conditions, as further announced on 22 January 2020, including that the prevailing market price is higher than the subscription price for the new shares and that a prospectus for the Subsequent Offering is approved and published. Subject to such conditions, it is expected that subscription period for any such Subsequent Offering (if made) will commence in Q2 2020.
