Vivid Seats Announces Secondary Offering of Class A Common Stock
CHICAGO, Dec. 06, 2023 (GLOBE NEWSWIRE) -- Vivid Seats Inc. (NASDAQ: SEAT) (“Vivid Seats” or the “Company”), a leading marketplace that utilizes its technology platform to connect millions of buyers with thousands of ticket sellers across hundreds of thousands of events each year, today announced that Hoya Topco, LLC (the “selling stockholder”) intends to offer 18,500,000 shares of the Company’s Class A common stock (“Class A common stock”) in a secondary underwritten public offering. The selling stockholder also intends to grant the underwriters a 30-day option to purchase up to an additional 2,775,000 shares of Class A common stock. All of the shares in the proposed offering will be sold by the selling stockholder. The Company will not receive any proceeds from the sale of the shares by the selling stockholder.
Citigroup, Morgan Stanley and BofA Securities are serving as joint book-running managers for the proposed offering.
