SELIGSON & CO OMX HELSINKI 25 EXCHANGE TRADED FUND UCITS ETF: CHANGE IN THE ARTICLES OF ASSOCIATION OF THE MANAGING COMPANY AND CHANGE IN THE RULES OF THE FUND 1 NOVEMBER 2019

An extraordinary general meeting of Seligson & Co Fund Management Company Plc, the company that manages the Seligson & Co OMX Helsinki 25 Exchange Traded Fund UCITS ETF, held on 30 September 2019 has decided to change the articles of association of Seligson & Co Fund Management Company Plc as a result of the new Act on Common Funds (213/2019) which took effect on 1 March 2019.

The changes pertain to the following paragraphs of the articles: 4§ the Board, 7§ the Auditors, and 9§ the Annual General Meeting. All the board members as well as the auditors are henceforth chosen at the AGM, rather than by the delegation of unit holders. Enclosed are the new articles of association in their entirety as well as a comparison table of the changes (both are available only in Finnish). The changes do not affect the Seligson & Co OMX Helsinki 25 Exchange Traded Fund UCITS ETF or the fund’s unit holders.

Furthermore, both the fund specific rules of Seligson & Co OMX Helsinki 25 Exchange Traded Fund UCITS ETF and the common rules of the funds managed by Seligson & Co Fund Management Company will change on 1 November 2019. Enclosed are the new rules (in Finnish). The new rules are available also on (in Finnish and Swedish).

• The information regarding the custodian has been removed from the fund specific rules and added to the common rules of the funds.
• The common rules of the funds have been changed as follows: Information about the custodian has been added, the yearly meeting of the unit holders removed and information about how future meetings of unit holders will be organized added. Henceforth a notice on the company website will be the primary means of communication. Further technical changes have also been made to the common rules, as well as other changes which do not affect Seligson & Co OMX Helsinki 25 Exchange Traded Fund UCITS ETF.

The Finnish Financial Supervisory Authority (FIN-FSA) has approved the changes in the rules on 13 September 2019.

The changes do not require any action from the fund’s unit holders.
