SPORTTOTAL AG: wide approval at the Annual General Meeting for the chosen path

- Annual General Meeting approves proposals by a large majority

Cologne, 16 May 2019. The Annual General Meeting of SPORTTOTAL AG has given the Management Board and the Supervisory Board a vote of confidence by a large majority for the chosen path. All the proposals of management were adopted by a large majority of the voting capital present. At the regular election of the Supervisory Board, Dr. Michael Kern and Jens Reidel were relected for a further term of office. Jean Fuchs, member of the Management Board of Luxembourg-based Fuchs & Associés Finance S.A., was newly elected to the Supervisory Board. By approving new Authorized Capital of EUR9.95 million, the Annual General Meeting has given the company full flexibility and scope for action. At the same time, CEO Peter Lauterbach emphasized that sporttotal.tv's international expansion is to take place on the basis of borrowed capital.

Wide approval
The Annual General Meeting gave the Management Board and the Supervisory Board a vote of confidence. The Management Board was discharged with a vote of 99,99%, the Supervisory Board with a vote of 89.86%. The existing remuneration system was also approved by 86.66% of the voting capital present. Kurt Heller GmbH, a company of business and tax consultants based in Cologne, was selected as the auditor for the annual financial statements and the consolidated financial statements for the fiscal year 2019.

Supervisory Board newly elected
The Supervisory Board was newly elected by the Annual General Meeting, as scheduled. Dr. Michael Kern, previously Chairman of SPORTTOTAL AG's Supervisory Board, and Jens Reidel were elected as members of the Supervisory Board by a large majority of 99.99% each. Jean Fuchs, member of the Management Board of Luxembourg-based Fuchs & Associés Finance S.A., was elected as a new member by 90.93% of the voting capital present.
