WithSecure on tehnyt päätöksen suunnatusta osakeannista

WithSecuren 18.3.2025 pidetty varsinainen yhtiökokous valtuutti hallituksen päättämään yhteensä enintään 17 609 870 osakkeen antamisesta osakeannilla. Valtuutus oikeuttaa hallituksen päättämään osakeantiin liittyvistä ehdoista. Valtuutuksesta enintään 2 000 000 osaketta voidaan käyttää osana yhtiön osakepohjaisia kannustinjärjestelmiä. Valtuutus on voimassa seuraavan varsinaisen yhtiökokouksen päättymiseen saakka, kuitenkin enintään 30.6.2026 saakka.

Saadun valtuutuksen nojalla halitus on päättänyt toteuttaa suunnatun osakeannin ilman vastiketta seuraavin ehdoin:

  1. Liikkeeseen laskettavien uusien osakkeiden määrä on enintään 180 445. Liikkeeseen laskettavat osakkeet ovat omia osakkeita.
  2. Osakkeet annetaan hallituksen jäsenille osana heidän palkkiotaan (128 221 osaketta), sekä ehdollisen osakepalkkio-ohjelman ohjelmakauden 2022–2024 palkkio-osakkeiden saajille (52 224 osaketta).
  3. Osakkeenomistajien etuoikeudesta poikkeamiseen on olemassa erityisen painava taloudellinen syy, kuten tarkoitetaan Osakeyhtiölain 9 luvun 4 §:n 1 momentissa, koska osakkeet annetaan osana yhtiön hallituksen palkitsemista ja osakeperusteisia kannustinjärjestelmiä.

Muutokset omien osakkeiden määrässä tiedotetaan erikseen osakkeiden toimituksen jälkeen.
