As issuer of the Series 1 Asset-Backed Commercial Paper Notes (the Notes), Pure Grove Funding (the Conduit) entered into a funding agreement with a special-purpose vehicle (the SPV) to advance a secured loan to the SPV for the purpose of the SPV’s purchase of the Portfolio of Loans originated by a captive auto finance company (the Seller) operating in Canada.
