Merger of ARITHNEA GmbH into adesso SE strengthens focus of the adesso digital experience portfolio

The e-commerce and CMS agency ARITHNEA GmbH will operate within adesso SE as part of the new Digital Experience business area in future. A merger agreement to this effect has been signed by both parties. adesso initially acquired a majority stake in ARITHNEA GmbH in 2012 before taking over the company in full ahead of schedule in 2016.

Positioned as the adesso Group's digital agency, ARITHNEA GmbH has successfully engineered, developed and operated e-commerce applications, content management systems, websites and portals for customers in recent years. The economic merger with adesso SE will strengthen ARITHNEA's consulting, IT project and service business through adesso's complementary technology and industry expertise. The even closer partnership and collaboration within the parent company will make it possible to increase the potential to attract customers and orders on the basis of intensified business development. Above all, the closer cooperation with adesso's industry sales teams will open up a much wider spectrum of customers for the new digital experience unit, allowing it to fully leverage adesso's industry expertise. The merger will help pool the adesso Group's strategic customer experience activities under the adesso brand and strengthen adesso's brand recognition beyond ARITHNEA's current target customer segment.

adesso SE intends to continue ARITHNEA's business operations with all employees at the existing locations following the merger into adesso SE on 1 November 2020. The Executive Board of adesso SE expects integration efforts and expenses to be minimal on account of the good working relationship with ARITHNEA GmbH to date and the continuation of business operations with expanded market access.

In balance sheet terms, the merger is to be completed retroactively as at 1 January 2020. In accordance with Section 62 (2) of the German Transformation Act [Umwandlungsgesetz (UmwG)], no merger resolution need be adopted by the acquiring stock corporation, adesso SE (the sole shareholder of ARITHNEA GmbH), unless the shareholders of adesso SE demand that an Annual Shareholders' Meeting be convened in which to adopt a resolution consenting to the merger. An announcement to this effect with the aim of informing shareholders will be published in the Federal Gazette [Bundesanzeiger] upon submission of the certified merger agreement.
