Freddie Mac Announces First Seasoned Loans Structured Transaction of 2020

MCLEAN, Va., Feb. 20, 2020 (GLOBE NEWSWIRE) -- Freddie Mac (OTCQB: FMCC) today announced its first Seasoned Loans Structured Transaction (SLST) offering of 2020—a securitization backed by a pool of approximately $1.1 billion seasoned re-performing loans (RPLs). The SLST program is a fundamental part of Freddie Mac's seasoned loan offerings which reduce less-liquid assets in its mortgage-related investments portfolio and shed credit and market risk via economically reasonable transactions.

The loan pool is comprised of loans that were modified to assist borrowers who were at risk of foreclosure to help them keep their homes. The loans will be serviced in accordance with that prioritize borrower retention options in the event of default and promote neighborhood stability.

The transaction involves a two-step process. The first step is an auction of the right to purchase subordinate, non-guaranteed certificates backed by the RPLs, subject to the terms set forth in a securitization term sheet. The winning bidder will be chosen on the basis of economics, subject to meeting Freddie Mac’s internal reserve levels. In the second step, the SLST Trust will issue both guaranteed senior and non-guaranteed subordinate certificates. Freddie Mac may initially retain some of such certificates. The winner of the auction will purchase the subordinate certificates at issuance.

Advisors to Freddie Mac on this transaction are Wells Fargo Securities, LLC, and J.P. Morgan Securities LLC as co-lead managers and joint bookrunners, and BMO Capital Markets Corp., BofA Securities, Inc., Citigroup Global Markets Inc., Nomura Securities International, Inc., and Samuel A. Ramirez & Company, Inc. (a minority-owned business) as the co-managers.
