Sammenlægningen af GPV og Enics gennemført

I fortsættelse af selskabsmeddelelse nr. 33 af 22. juni 2022 kan det bekræftes, at godkendelse fra de relevante myndigheder er opnået, og at alle øvrige betingelser for sammenlægningen af GPV og den schweizisk baserede EMS-virksomhed Enics nu er opfyldt.

I overensstemmelse med det forventede er transaktionen gennemført dags dato, og dermed ejer Schouw & Co. nu 80% af den sammenlagte virksomhed, mens Ahlström Capital B.V. har en ejerandel på 20%. Den samlede virksomhed fortsætter under navnet GPV med Bo Lybæk fra det hidtidige GPV som adm. direktør. Det nye GPV har ca. 7.500 medarbejdere fordelt på 19 fabrikker i Danmark, Sverige, Finland, Estland, Schweiz, Tyskland, Østrig, Slovakiet, Sri Lanka, Thailand, Malaysia, Kina og Mexico.

Den gennemførte transaktion har den virkning, at Enics fra starten af 4. kvartal 2022 vil indgå i Schouw & Co. koncernens konsoliderede regnskab. Det forventes, at konsolideringen af Enics vil øge koncernens samlede omsætning i 2022 med 1.100-1.300 mio. kr. Samtidigt forventes det, at den ordinære drift vil øge EBITDA med cirka 60 mio. kr., men resultatet forventes i 4. kvartal belastet af reguleringer vedrørende varelagre, som følge af sædvanlig købesumsfordeling, samt af umiddelbare integrationsomkostninger. Som samlet effekt heraf forventes koncernens EBITDA i 2022 øget med 20-40 mio. kr. Den nye ejerfordeling medfører i sagens natur, at 20% af det nye GPV’s samlede resultat efter skat i 4. kvartal 2022 vil blive tilskrevet minoritets­interesserne under resultatfordelingen.  

Samlet forventer Schouw & Co. koncernen dermed at realisere en omsætning i 2022 i størrelsesordenen 29,9-31,8 mia. kr. med et EBITDA i intervallet 2.070-2.300 mio. kr. under de forudsætninger og forbehold, som i øvrigt fremgår af selskabets delårsrapport for 2. kvartal 2022.
