Patvirtintas oficialaus siūlymo cirkuliaras, skirtas supirkti AB Snaigė akcijas



 

Akcinė bendrovė „Snaigė“ informuoja, kad Lietuvos banko Finansų rinkos priežiūros komitetas 2024 m. gegužės 14 d. patvirtino UAB EDS INVEST 3 pateiktą nekonkurencinio oficialaus siūlymo cirkuliarą, skirtą AB Snaigė likusioms 3 434 834 paprastosioms vardinėms akcijoms supirkti, siekiant jas išbraukti iš prekybos AB Nasdaq Vilnius reguliuojamoje rinkoje.

Lietuvos bankui pateiktame AB „Snaigė“ akcijų oficialaus siūlymo cirkuliare oficialaus siūlymo teikėjo UAB EDS INVEST 3 mokama kaina už vieną AB „Snaigė“ akciją yra 0,13 EUR. Ši kaina susideda iš 6 mėnesių iki AB „Snaigė“ valdybos pranešimo apie ketinimą išbraukti akcijas iš reguliuojamos rinkos paskelbimo dienos (t. y. nuo 2023 m. rugsėjo 21 d. iki 2024 m. kovo 21 d. (imtinai)) vidutinio svertinio akcijų rinkos kainos vidurkio.

Oficialaus siūlymo įgyvendinimo pradžia – ketvirtoji darbo diena nuo cirkuliaro patvirtinimo, t. y. 2024 m. gegužės 20 d. Oficialaus siūlymo įgyvendinimo trukmė – 15 (penkiolika) kalendorinių dienų.

Akcijų supirkimas bus įgyvendinamas per AB Nasdaq Vilnius Oficialių siūlymų rinką, tarpininkaujant UAB FMI Orion Securities. Akcininkai, norėdami parduoti savo turimas akcijas oficialaus siūlymo metu, gali kreiptis į bet kurią Lietuvoje veikiančią finansų maklerio įmonę ar kredito įstaigą ir pateikti pavedimą parduoti akcijas su atitinkama finansų maklerio įmone ar kredito įstaiga sutarta tvarka.
