Tütarettevõtte võõrandamine ja väljumine moebrändide frantsiisiärist kaldal

Keskendumaks põhiärile müüs Tallink Grupp AS („Ettevõte“) kõik talle kuulunud osad 100% osalusega tütarettevõttes Baltic Retail OÜ ettevõttele Talwest Grupp OÜ. 2018. aasta jaanuaris asutatud Baltic Retail OÜ põhitegevusala on rõivakaupade jaemüük Eestis. Ettevõttele kuuluvad viie moebrändi frantsiisiõigused ning ettevõte opereerib kaheksat kauplust Tallinnas asuvates kaubanduskeskustes.

OÜ Baltic Retail võõrandamisega on Ettevõte väljunud moebrändide frantsiisiärist kaldal ning loovutanud brändide Esprit, Vero Moda, Jack & Jones, SuperDry ja United Colors of Benetton Baltikumi frantsiisiõigused. Ettevõte ja tema tütarettevõtted („Kontsern“) jätkavad väiksemate travel retail kaupluste ja esmatarbekaupade kaupluse Tallink Express opereerimist Tallinnas ning Burger King restoranide avamist Baltikumis.

Vastavalt poolte vahel sõlmitud lepingule ei kuulu tehingu tingimused avalikustamisele. Tütarettevõtte võõrandamine ei oma olulist mõju Kontserni konsolideeritud majandustulemusele. Tütarettevõtte võõrandamine ei ole käsitletav olulise osaluse võõrandamisena Nasdaq Tallinn reglemendi osa "Nõuded Emitentidele" tähenduses ega avalda olulist mõju kontserni tegevusele. AS Tallink Grupp nõukogu ja juhatuse liikmed ei ole tehingust muul viisil isiklikult huvitatud.
