WithSecure on saattanut päätökseen kyberturvakonsultoinnin liiketoiminnan myynnin Neqstille

WithSecure tiedotti 23.1.2025 aikeestaan myydä kyberturvakonsultoinnin liiketoiminta ruotsalaiselle sijoitusyhtiö Neqstille.

Osapuolet ovat 31.5.2025 saattaneet kaupan päätökseen sopimuksen mukaisesti. Kaupan yhteydessä ostaja maksaa käteisellä 13,5 miljoonaa euroa, joka vastaa 60 %:ia sopimuksen mukaisesta yrityksen 22,5 miljoonan euron arvosta, vähennettynä siirtyvän liiketoiminnan nettovaroilla. Jäljelle jäävä 40 % kauppahinnasta on muuttuvaa ja perustuu vuosien 2025 ja 2026 liiketoiminnan tuloksiin. Se maksetaan kahdessa erässä vuosien 2026 ja 2027 alussa.

Kaikki kaupan toteutumiseen liittyvät ehdot on täytetty.

Kaupan seurauksena noin 230 työntekijää Suomessa, Isossa-Britanniassa, Ruotsissa, Tanskassa, Singaporessa, Italiassa ja Yhdysvalloissa siirtyy ostajan palvelukseen.

Konsultoinnin liiketoiminnan myynti mahdollistaa täyden keskittymisen Elements-strategiaan, jonka tavoitteena on tulla eurooppalaisen tietoturvan lippulaivaksi”, toteaa Antti Koskela, WithSecuren toimitusjohtaja.
