Donaldson Company Announces Preliminary Results of Annual Meeting, Shareholders Elect New Director Pilar Cruz to Board of Directors

Donaldson Company, Inc. (NYSE: DCI) held its annual meeting of stockholders today, Friday, November 17, 2017. Preliminary voting results indicate that stockholders owning a majority of the shares voted supported:

  • The election of three directors, including new director Pilar Cruz
  • The company’s executive compensation practices and the preference for future non-binding advisory votes on executive compensation to be held every year, and
  • Ratification of PricewaterhouseCoopers as Donaldson’s independent public accountant

As previously announced and effective with today’s meeting, president and chief executive officer Tod Carpenter will now assume chairman of the board responsibilities. Additionally, board member Willard Oberton is now lead independent director of Donaldson’s board. The company will disclose the final voting results on each item of business presented at the 2017 Annual Meeting on a Form 8-K to be filed with the SEC.

Cruz currently serves as president of Cargill’s Feed & Nutrition business. Cargill is a provider of food, agriculture, financial and industrial products and services. During her 15 years with Cargill, she has had increasing levels of responsibility, including corporate vice president of corporate strategy and development, president and business unit leader, and general manager, across businesses in North America, South America and Europe. Cruz has a bachelor’s degree in economics from Universidad de Los Andes in Bogotá, Colombia, and she earned an MBA from the Ross School of Business at the University of Michigan.
