Glacier Media Offers to Acquire Shares of GVIC Not Already Owned

VANCOUVER, British Columbia, Jan. 12, 2021 (GLOBE NEWSWIRE) -- GVIC Communications Corp. (“GVIC” or the “Company”) announced that Glacier Media Inc. (“Glacier”) has offered to acquire all of the Class B voting and Class C non-voting shares not currently held by Glacier and its subsidiary.

Under the offer, each GVIC shareholder will receive 0.8 Glacier common shares for each Class B or Class C GVIC share held.

An independent special committee of the board of directors of GVIC has been formed to review the transaction offered by Glacier and determine whether it is in the best interest of the Company and shareholders. An independent financial advisor and legal counsel have been retained by the special committee.

The transaction will be subject to certain conditions, including the review and favorable recommendation by the special committee, boards of directors approvals, approval by the shareholders of the Company and the negotiation of a definitive agreement. Any definitive agreement is expected to contain customary closing conditions. There can be no assurance that any transaction will be consummated or will be consummated on the terms described in this news release.
