Meritage Homes Announces Pricing of Convertible Senior Notes

SCOTTSDALE, Ariz., May 07, 2024 (GLOBE NEWSWIRE) -- Meritage Homes Corporation (NYSE: MTH, “Meritage” or the “Company”), the fifth-largest homebuilder in the U.S., today announced the pricing of $500 million aggregate principal amount of its 1.75% Convertible Senior Notes due 2028 (the “notes”). The Company also granted the initial purchasers of the notes a 13-day option to purchase up to $75 million of aggregate principal amount of additional notes. The sale of the notes is expected to settle on May 9, 2024, subject to customary closing conditions, and is expected to result in approximately $484.8 million (or approximately $557.8 million if the initial purchasers exercise their option to purchase additional notes in full) in net proceeds to Meritage after deducting the initial purchasers’ discounts and commissions and estimated offering expenses payable by Meritage.

The Company intends to use the net proceeds received from the offering to pay the cost of entering into the capped call transactions, as described below, to redeem all of its outstanding 6.00% Senior Notes due 2025 and the remainder for general corporate purposes. If the initial purchasers exercise their option to purchase additional notes, the Company expects to use a portion of the net proceeds from the sale of such additional notes to enter into additional capped call transactions, as described below, and to use the remainder of such net proceeds for general corporate purposes.

The notes will be senior, unsecured obligations of the Company and will be guaranteed fully, unconditionally, and jointly and severally initially by each of the Company's direct and indirect owned subsidiaries from time to time guaranteeing the Company’s existing senior notes, that is a guarantor or obligor under the Company’s existing revolving credit agreement or that is a guarantor or obligor with respect to certain refinancing indebtedness with respect to the Company’s existing senior notes. The notes will bear interest at a rate of 1.75% per annum, payable semi-annually in arrears on May 15 and November 15 of each year, beginning on November 15, 2024. The notes will mature on May 15, 2028 (the “maturity date”), unless earlier converted or repurchased. The holders of the notes may convert all or any portion of their notes at any time prior to the close of business on the business day immediately preceding February 15, 2028 only under the following circumstances: (1) during any calendar quarter commencing after the calendar quarter ending on September 30, 2024 (and only during such calendar quarter), if the last reported sale price of the Company’s common stock for at least 20 trading days (whether or not consecutive) during a period of 30 consecutive trading days ending on, and including, the last trading day of the immediately preceding calendar quarter is greater than or equal to 130% of the conversion price on each applicable trading day; (2) during the five business day period after any ten consecutive trading day period (the “measurement period”) in which the trading price per $1,000 principal amount of notes for each trading day of the measurement period was less than 98% of the product of the last reported sale price of the Company’s common stock and the conversion rate on each such trading day; or (3) upon the occurrence of specified corporate events. On or after February 15, 2028 until the close of business on the second scheduled trading day immediately preceding the maturity date, holders may convert all or any portion of their notes at any time, regardless of the foregoing circumstances. Subject to certain conditions and limited exceptions, holders of the notes will have the right to require the Company to repurchase for cash all or a portion of their notes upon the occurrence of a fundamental change (as defined in the indenture governing the notes) at a purchase price of 100% of their principal amount plus any accrued and unpaid interest. In addition, if certain corporate events occur, the Company may be required, in certain circumstances to increase the conversion rate for any convertible notes converted in connection with such corporate events by a specified number of shares of its common stock.

Upon conversion of the notes, the Company will pay cash, up to the aggregate principal amount of the notes to be converted, and pay or deliver, as the case may be, cash, shares of the Company’s common stock or a combination of cash and shares of the Company’s common stock, at the Company’s election, in respect of the remainder, if any, of the Company’s conversion obligation in excess of the aggregate principal amount of the notes being converted. The initial conversion rate for the notes is 4.3048 shares of the Company’s common stock per $1,000 principal amount of notes (which is equivalent to an initial conversion price of approximately $232.2988 per share). The initial conversion price represents a premium of approximately 32.5% over the last reported sale price of the Company’s common stock of $175.32 per share on NYSE on May 6, 2024. The Company may not redeem the notes prior to the maturity date.

Contemporaneous with the pricing of the notes, the Company entered into privately negotiated capped call transactions in respect of the notes with certain financial institutions, which include certain initial purchasers or their respective affiliates and other financial institutions (the “counterparties”). The capped call transactions will cover, subject to anti-dilution adjustments, the number of shares of the Company’s common stock initially underlying the notes.

The capped call transactions are expected generally to reduce potential dilution to the Company’s common stock upon conversion of any notes and to offset any cash payments made by the Company in excess of the principal amount of converted notes, as the case may be, with such reduction and/or offset subject to a cap. The cap price of the capped call transactions will initially be $350.64 per share, which represents a premium of 100% over the last reported sale price of the Company’s common stock of $175.32 per share on May 6, 2024, and is subject to certain adjustments. If the initial purchasers exercise their option to purchase additional notes, the Company expects to enter into additional capped call transactions with the counterparties in respect of the additional notes.

To hedge their positions in the capped call transactions, the Company expects the counterparties or their respective affiliates to purchase shares of the Company’s common stock and/or enter into various derivative transactions with respect to the Company’s common stock concurrently with, or shortly after, the pricing of the notes. These activities could also increase (or reduce the size of any decrease in) the market price per share of the Company’s common stock or the notes at that time. In addition, the counterparties or their respective affiliates may modify their hedge positions by entering into or unwinding various derivatives with respect to the Company’s common stock and/or by purchasing or selling shares of the Company’s common stock or other securities of the Company in secondary market transactions following the pricing of the notes and from time to time prior to the maturity of the notes (and are likely to do so during any observation period for the notes or following any termination of any portion of the capped call transactions in connection with any repurchase or early conversion of the notes). These activities could also increase (or reduce the size of any decrease in) the market price per share of the Company’s common stock or the notes, which could affect the ability of holders of notes to convert the notes, and, to the extent the activity occurs following conversion or during any observation period related to a conversion of notes, it could affect the amount and/or value of the consideration that holders of notes will receive upon conversion of such notes.
