Skeljungur hf.: Results from Skeljungur's Shareholders' meeting - May 2019

Skeljungur hf. held a Shareholders´ Meeting today, Monday May 27, 2019 at the Company´s headquarters at 16:00.

Proposals to the meeting are enclosed.



1.      Proposals regarding amendments to the Company´s Articles of Association.

a. A proposal regarding a share repurchasing plan, amounting to maximum ISK 550,000,000, was approved.

b. A proposal regarding a new article regarding the execution of board elections, in relation to gender quotas, was approved.

c. A proposal regarding an amended wording in relation to voting others than those nominated by the Nomination Committee, was approved.

d. A proposal regarding an amended wording, to assume the possibility of the Board of Directors being dismissed was approved.



2. Proposal regarding the dismissal of the Board of Directors

The proposal was approved.



3.      Election to the Board of Directors

Following individuals were elected at the meeting to serve on the Board of Directors of the Company:

  • Ata Maria Bærentsen
  • Birna Ósk Einarsdóttir
  • Jens Meinhard Rasmussen
  • Jón Ásgeir Jóhannesson
  • Þórarinn Arnar Sævarsson



4.      Other matters

No other matters were lawfully brought up at the meeting. The meeting was dismissed at 17:55.

Following the Meeting the Board of Directors met and decided on allocation of responsibilities.

Jens Meinhard Rasmussen was elected as Chairman of the Board and Jón Ásgeir Jóhannesson was elected as Vice Chairman.

Helena Hilmarsdóttir, Ata Maria Bærentsen and Birna Ósk Einarsdóttir were appointed to the Audit Committee and Jens Meinhard Rasmussen and Birna Ósk Einarsdóttir to the Remuneration Committee. Þórarinn Arnar Sævarsson was appointed as the member of the Board of Directors to take a seat in the Nomination Committee.

Gróa Björg Baldvinsdóttir, Skeljungur´s general council, was appointed secretary to the Board.
