T-Mobile Announces Proposed Public Offering of Senior Notes

T-Mobile US, Inc. (NASDAQ: TMUS) (“T-Mobile”) announced today that T-Mobile USA, Inc. (“T-Mobile USA” or the “Issuer”), a wholly-owned subsidiary, plans to offer, subject to market and other conditions, up to $2,500 million aggregate principal amount of senior notes, to be issued in two tranches with maturities in 2026 and 2028 (collectively, the “notes”) in a registered public offering.

T-Mobile intends to use the net proceeds from the offering of the notes to redeem up to $1,750 million in aggregate principal amount of T-Mobile USA’s 6.625% senior notes due 2023 and up to $600 million in aggregate principal amount of T-Mobile USA’s 6.836% senior notes due 2023, with the balance to be used for general corporate purposes, including partial paydown of borrowings under T-Mobile USA’s revolving credit facilities.

Deutsche Bank Securities Inc., Barclays Capital Inc., J.P. Morgan Securities LLC and Morgan Stanley & Co. LLC are the joint book-running managers for the offering of the notes.
