US Cellular: is the market missing something?

T-Mobile and US Cellular ("USM") structured a clever deal that is good for both companies. The clever element is the tower lease extension, which costs T-Mobile nothing, but secures $1BN in value to USM shareholders and opens the door to a much more valuable transaction. When we add this to the value of the spectrum and other assets that USM keeps, USM looks undervalued. Moreover, we expect additional transactions to crystalize this value in relatively short order.

TMUS quick hit: T-Mobile acquiring most of USM

T-Mobile is acquiring USM’s wireless business and most of their spectrum below 3GHz. The transaction isn’t surprising; it was anticipated in press stories three weeks ago. This is a small “tuck-in” transaction that will be modestly accretive to T-Mobile shareholders and won’t impact the Company’s ability to return $60BN in dividends and repurchases by early 2026. Our preliminary thoughts in this note.
