Wendel has held shares in Bureau Veritas since 1995, but we expect the group to make a full exit in 2026 (15% of the capital of BVI remaining). With this move, Wendel would wrap up the divestment policy rolled out over the past two years, as it looks to deleverage its balance sheet and ensure strategic consistency with its equity story. Such an outcome would wipe out the structural overhang weighing on BV, leading to stock re-rating (Outperform rating and € 35 target price maintained). However, while this would lower leverage, NAV growth drivers remain weak, prompting us to cut our rating on Wendel to Neutral vs Outperform and our target price to € 100 vs € 110.Bureau Veritas specializes in inspecting, testing, auditing or certifying products, assets (such as buildings, industrial infrastructure, equipment and ships) and management systems (particularly against ISO standards) based on regulatory or voluntarily adopted standards. Co.'s operations can be divided into eight businesses: ship classification; industry services; inspection and verification of equipment in service; construction services; certification of management systems or services; inspection and testing of consumer products; services related to customs control and international trade services; and inspection and testing of commodities.
