Les motifs avancés par le service relation investisseurs de la société sur la démission des commissaires aux comptes nous semblent davantage traduire l'idée pour ces derniers de rendre compte à la société du coût des honoraires, alors que la nature du mandat des commissaires aux comptes consiste à rendre compte aux actionnaires de la société. Finexsi Audit est le commissaire aux comptes facturant le moins d'honoraires à la société (51 000 € en 2019, dont 5 000 € d'autres services). Ces montants nous semblent raisonnables et le changement de ce commissaire aux comptes ne permettra pas de faire une réduction substantielle des coûts. Bien que la situation nous impose la démission des commissaires aux comptes (le vote des actionnaires n'aura pas d'effet sur leurs départs), il nous semble préférable de maintenir une continuité dans le suivi de la certification des comptes avec le maintien d'un des deux commissaires aux comptes démissionnaires. Nous recommandons l'opposition.
