The investigation concerns whether Babcock and certain of its officers and/or directors violated federal securities laws. On February 28, 2017, Babcock disclosed disappointing fourth quarter 2016 results that were below analyst expectations, citing strong declines in its Renewable Energy segment. The Company reported “fourth quarter 2016 revenues of $380.0 million, a decrease of $122.7 million, or 24.4%, compared to the fourth quarter of 2015.” The Company also reported a GAAP loss per share of $1.47 for the fourth quarter of 2016, compared to a loss per share of $0.10 for the fourth quarter of 2015. When this news was announced, the Company’s shares fell in value.
