L’AMF a déclaré conforme l’OPA simplifiée par Northwood Investors visant les actions Cegereal, suite au rachat déjà acté des 59,78% du capital détenus par Commerz Real via le fonds Haus Invest, à un prix de 35,62€/action (susceptible d’être ajusté jusqu’à 35,65€). Les actionnaires minoritaires vont donc bénéficier d'une OPA à un prix identique, proche de l'ANR. L’offre sera ouverte du 12 au 25 janvier 2016 inclus. Une fois l'OPA finalisée, Northwood devra trouver une solution (reclassement ou augmentation de capital) pour ramener sa participation sous 60% du capital pour maintenir le statut SIIC. Elle aura jusqu’au 30 avril 2017 pour y parvenir et a déjà trouvé des partenaires pour reclasser 10,7% (jusqu’à 29,3% supplémentaires pourraient être nécessaires). Nous recommandons APPORTER A L’OFFRE. Post OPA, le titre pourrait connaître une baisse dans l’attente de la résolution de sa situation actionnariale.CeGeREAL is a real estate investment company.
