WOOD Flash – PKN Orlen and Grupa Lotos agree on the merger price

PKN Orlen and Grupa Lotos have announced that they have agreed on the terms of the merger. Lotos shareholders will be offered 1.075 PKN shares for each Lotos share that they own. Based on yesterday’s closing price (2 June), this values Lotos at a 9% premium. PKN plans to issue 199m new shares for the transaction and Lotos shareholders would own 32% of the merged entity. The State Treasury share of the merged company would be 35.7%. Management expects the deal to be concluded in August, but this depends on the shareholders voting in favour. The deal would create a company with 900,000bpd of refining capacity.

Co. supplies the market with, unleaded petrol, diesel oil, fuel oil, aviation fuel, industrial oil, asphalt and paraffin, among other things. Co. maintains oil exploration and production activities in the Baltic, North Sea and Norwegian Sea and operates three refineries in Gdansk, Jaslo and Czechowice, Poland. Co. markets its products in wholesale markets, as well as in retail markets through a network of petrol stations.
