Comcast Corporation Announces Preliminary Results of 2020 Annual Meeting of Shareholders

today announced the preliminary results of its 2020 Annual Meeting of Shareholders held this morning. Final voting results will be filed with the U.S. Securities and Exchange Commission on a Form 8-K within four business days.

Company Proposals

  • Election of Directors: Shareholders elected all nominees to Comcast’s Board of Directors for one-year terms. Comcast’s Board has 10 directors, nine of whom are independent, and is 50 percent diverse by race or gender.
  • Ratification of the Appointment of our Independent Auditors: Shareholders ratified the appointment of Deloitte & Touche LLP to serve as independent auditors for the year ending December 31, 2020.
  • Approval of Amended and Restated 2003 Stock Option Plan: Shareholders voted in favor of this proposal.
  • Approval of Amended and Restated 2002 Restricted Stock Plan: Shareholders voted in favor of this proposal.
  • Advisory Vote on Executive Compensation: Shareholders voted in favor of this proposal.

BEAD: Update for 3 More States

In this latest update, we now include BEAD proposals from 51 states & territories. We have updated our analysis for Alaska, Florida and Utah. Comcast, Brightspeed and AT&T remain at the top of the list among wireline operators. Fiber remains the dominant technology both in terms of locations as well as funding.

BEAD: Impact of Price caps on funding

Based on a leaked internal NTIA memo related to BEAD, it seems like the final proposals by the states may not be final and the NTIA may force them to make changes to their plans. We have analyzed all the proposals so far and estimate that Comcast, AT&T and Frontier may be most impacted by these rules. However, the overall impact isn’t material.

BEAD: Another Major Update

We are almost in the home stretch of the BEAD proposal process. In this latest update, we now include BEAD proposals from 48 states & territories. We also incorporate the revisions in some state proposals. Comcast and Brightspeed are at the top of the list among wireline operators. Fiber’s share of locations remained unchanged from our last update. Satellite and FWA together account for close to a third of the locations awarded.
