Helix Prices Upsized Public Offering of Common Stock

Helix Energy Solutions Group, Inc. (NYSE:HLX) (“Helix”) priced its underwritten public offering of 23,000,000 shares of its common stock on January 4, 2017, at a price of $8.65 per share (the “offering”). The 23,000,000 share offering represents a 2,000,000 share upsize to the previously announced proposed 21,000,000 share offering. Total gross proceeds of the offering (before underwriters’ discounts and commissions and estimated offering expenses) will be approximately $199.0 million. In addition, Helix has granted the respective underwriters a 30-day option to purchase up to 3,450,000 additional shares of its common stock at the public offering price per share (less the underwriting discount). Helix intends to use the net proceeds from the offering, including any proceeds from any exercise of the underwriters’ option to purchase additional shares of common stock, for general corporate purposes, which may include debt repayment, capital expenditures, working capital, acquisitions or investments in its subsidiaries. The closing of the offering, which is expected to occur on January 10, 2017, is subject to customary closing conditions.

Credit Suisse Securities (USA) LLC, Wells Fargo Securities, LLC and BofA Merrill Lynch are acting as joint book-running managers for the offering.
