CMB.Tech Merger proposal with Golden Ocean

CMB.Tech and Golden Ocean announced they have signed a term sheet for a contemplated stock-for-stock merger, with CMB.Tech as the surviving entity, based on an exchange ratio of 0.95 shares of CMB.Tech for each share of Golden Ocean, subject to customary adjustments. The merger will create one of the largest diversified listed maritime groups in the world with a combined fleet of more than 250 vessels. Early March CMB.Tech acquired an initial stake of 40.8% in Golden Ocean which it increased to 49.4% as per filing early April. Given our involvement in the transaction we suspend coverage.

As of Apr. 4, 2017, Co. owned and operated a modern fleet of 55 vessels (including four chartered-in vessels) with an aggregate carrying capacity of approximately 13.7 million deadweight tons, or dwt, consisting of 31 very large crude carriers, one ultra large crude carrier, 21 Suezmax vessels, and two floating, storage and offloading vessels. Co. has two operating segments: the operation of crude oil tankers on the international markets (tankers) and the floating production, storage and offloading operations.
