PKN Orlen and Grupa Lotos have announced that they have agreed on the terms of the merger. Lotos shareholders will be offered 1.075 PKN shares for each Lotos share that they own. Based on yesterday’s closing price (2 June), this values Lotos at a 9% premium. PKN plans to issue 199m new shares for the transaction and Lotos shareholders would own 32% of the merged entity.
