Les actionnaires sont convoqués en assemblée ordinaire afin d’approuver le versement à Gérard Soula (Président Directeur général) et Olivier Soula (Directeur général Délégué) d’une rémunération de 225 000 € et 130 000 € respectivement.
Bien que les montants en jeu soient acceptables, plusieurs problèmes sont ici pointés du doigt : tout d’abord, la communication de la société est confuse sur 2 points : la nature de la rémunération (variable ou exceptionnelle) et l’année au titre de laquelle elle est versée (2017 ou 2018) et des incohérences par rapport à la politique de rémunération 2018 approuvée par les actionnaires en mai 2018 ont été relevées.
Au delà de ces problèmes de communications, le principe même de verser en 2018 une rémunération variable au titre de 2018 alors même que l’année n’est pas finie et que le conseil n’a donc pas pu statuer sur les performances globales de l’exercice, n’est absolument pas acceptable. Aussi, nous ne soutenons pas les résolutions proposées.
