Le conseil n'est pas composé majoritairement de membres libres de conflits d'intérêts. Par conséquent, les membres non indépendants dont le renouvellement de mandat est proposé ne pourront être soutenus à l'exception de Bpifrance Investissement qui, en tant que second actionnaire, semble être un membre légitime du conseil (résolutions 6, 13 et 14). Le renouvellement du mandat du Président-Directeur général ne sera pas également pas approuvé, cette résolution représentant une opportunité pour les actionnaires de critiquer le cumul des fonctions et l'absence de mise en place de contre-pouvoirs (résolutions 5).
La société propose deux résolutions portant sur la politique de rémunération des dirigeants attribuable au titre de l'exercice 2017 (Sapin II). La transparence de la société est insuffisante, notamment en ce qui concerne la rémunération actionnariale qui était élevée lors des précédents exercices. Dans ces conditions, les actionnaires ne peuvent donner un blanc-seing à la société et nous recommandons l’opposition aux résolutions 8 et 9.
Enfin, il est regrettable que la société maintienne certaines autorisations d'augmentation de capital en période d’offre publique car cela constitue un outil anti-OPA et n’est pas dans l’intérêt des actionnaires minoritaires. Par ailleurs, certains montants demandés semblent trop élevés (résolutions 17 à 24).
