La société a transféré son siège social en Belgique l’année dernière. Par conséquent, les rémunérations attribuées au titre de l’exercice 2018 sont regroupées au sein d’une même résolution et les conventions réglementées ne sont pas soumises au vote des actionnaires.
Proxinvest souligne un taux d’indépendance très faible au conseil d’administration. Ainsi, les renouvellements de Jean-Franck Ricci et Alain Tisserand ne sont pas soutenus (résolutions 8 et 9). En revanche, Proxinvest recommandera l’approbation de la nomination de Charles Champion (résolution 10).
La société souhaite se soumettre au nouveau Code des Sociétés et Associations (résolution 12). Le nouveau code est d’application immédiate pour les nouvelles sociétés et associations créées à partir du 1er mai 2019. Pour les sociétés ou associations existantes, le code s'appliquera à partir du 1er janvier 2020. La loi stipule que les statuts doivent être mis en conformité avec le nouveau code lors de la prochaine modification des statuts et au plus tard avant le 1er janvier 2024. Ainsi, elle propose de mettre en conformité ses statuts au sein de la résolution 11. Proxinvest soutient ce choix.
