La société a transféré son siège social en Belgique il y a deux ans. Par conséquent, les rémunérations attribuées au titre de l’exercice 2019 sont regroupées au sein d’une même résolution et les conventions réglementées ne sont pas soumises au vote des actionnaires.
Proxinvest souligne un taux d’indépendance très faible au conseil d’administration. Ainsi, les renouvellements de Maurice Ricci et Cécile Monnot ne sont pas soutenus (résolutions 8 et 11). En revanche, Proxinvest recommandera l’approbation des renouvellements de Muriel Barnéoud, Valérie Magloire et Jean-Luc Perodeau (résolutions 9, 10 et 12).
