La société a amélioré sa transparence concernant la politique de rémunération des membres du Directoire, en communiquant le plafond de la rémunération pluriannuelle, ainsi que les critères de performances la conditionnant et les objectifs à atteindre. Cette amélioration permet de mieux estimer les rémunérations attribuables pour le nouvel exercice.
Au regard de cette amélioration, nous recommandons l'approbation à la résolution 15, bien que la politique de rémunération des membres du Directoire puisse encore être améliorée.
La rémunération totale attribuée au titre de l’exercice, d’André Coutier, ainsi que celle prévu par la politique de rémunération, s’élève à 184 000 €, soit 118% de la médiane des rémunérations des mandataires sociaux non dirigeants des 250 plus grosses capitalisations françaises, ce qui est excessif. Nous recommandons donc l'opposition aux résolutions 14 et 16.
