La large majorité des résolutions respectent notre politique de vote. L'opinion de Proxinvest sur la gouvernance de la société est donc positive.
La rémunération du Président du Conseil d'Administration pour l'exercice 2018, bien que ne respectant pas nos plafonds, est marqué par une baisse substantielle (-33%), ce qui justifie notre recommandation favorable.
Concernant les organes de direction, nous regrettons le projet de réunion des fonctions de Président du Conseil et de Directeur Général. Ceci est cependant compensé par une majorité de membres indépendants au sein du Conseil (62,5%), et par la consécration statutaire de la nomination d'un Administrateur Référent en cas de réunion des fonctions de Président du Conseil et de Directeur Général.
