Rémunérations :
Malgré une parfaite transparence permettant de parfaitement comprendre les montants attribués, et une structure équilibrée, les montants attribués au titre de 2019 eau PDG sont excessifs (160% de la médiane des rémunérations totales des dirigeants des 250 premières capitalisations françaises). Nous ne soutenons donc pas la résolution 7.
La société propose au sein d’une seule résolution (résolution 8) d’approuver les politiques des rémunérations des administrateurs et du PDG. On regrettera cet état de fait puisque les 2 sujets sont totalement différents.
La politique de rémunération du PDG pour 2020 propose une augmentation de 22,8% de sa rémunération fixe. L’augmentation du fixe proposée, non compensée par la baisse du bonus ou de la rémunération ou quelque changement de structure que ce soit, a pour effet une augmentation de toutes les composantes potentielles de la rémunération. Dès lors, les montants en jeu sont excessif au regard de la médiane du Top 250. Ce n’est pas acceptable et la précédente politique de rémunération était préférable. Nous recommandons donc l’opposition.
