Amplitude Surgical - Assemblée Générale Mixte des actionnaires du 19 décembre 2019
L'actionnaire majoritaire Apax est surreprésenté au Conseil en possédant la moitié des sièges alors que sa participation est de 41,42% du capital et des droits de vote (notons toutefois que l'Assemblée Générale respecte le principe d'équité "une action - une voix"). Par ailleurs, bien que la société se soit engagée, lors de son introduction en bourse, à soumettre la nomination de 3 femmes administratrices indépendantes au sein du Conseil, force est de constater que ce projet n'a pas encore été mis en oeuvre. Or, ceci serait particulièrement souhaitable car Proxinvest estime que tous ses membres peuvent être définis comme non libres de conflits d'intérêts potentiels.
L'approbation de la politique de rémunération du Président Directeur Général fait preuve d'un manque de transparence et constituerait un blanc seing accordé au Conseil. Ce pourquoi nous recommandons l'opposition (résolution 5).
Enfin, nous recommandons l'opposition aux résolutions d'augmentation de capital en raison du dépassement de nos plafonds d'autorisation et de leurs maintiens en période d'offre publique.
