Resolution 3: In view of the recent events relating to Covid-19, which are not yet quantifiable, ECGS is in favour of lowering the dividend distribution initially planned.
Resolution 5: We do not issue an unfavourable opinion on the renewal of the term of office of Thierry Le Hénaff, Chairman and Chief Executive Officer.
Resolution 7: Concerning the compensation policy for the Chairman and Chief Executive Officer, although the increase in the fixed compensation and the maximum amount of annual variable compensation is subject to deferment, it constitutes a worsening of the previous policy in that it enshrines this increase as from 1 January 2021.
Resolution 9: The total compensation awarded to Thierry Le Hénaff for the year amounts to € 4,190,220, i.e. 154% of the median total CEO compensation of the SBF 120 and 122% of the median total CEO compensation of the Chemicals sector of the MSCI Europe.
