A la vue des récents événéments relatifs au Covid-19, dont les conséquences restent encore non quantifiables, Proxinvest est favorable au fait de repousser les prises de décision sur le dividende, aux réductions ou suspensions qui permettraient aux entreprises d’éviter des risques de liquidité ou de ne pas générer de risque pour leur survie. Ainsi, l'absence de distribution de dividendes est accueillie favorablement (résolution 3).
La rémunération totale du Directeur Général au titre de l'exercice 2019 est largement supérieure à celle constatée chez ses pairs (312% de la médiane des dirigeants des 250 premières capitalisations françaises). Concernant l'attribution d'actions (valorisée 1 310 000 €), la moitié des actions sont acquises sans condition de performance et l'autre moitié des actions sont acquises en totalité dès que les objectifs sont atteints à seulement 50%. Cette grille d'attribution n'est pas acceptable (résolution 10).
