La société manque grandement à son devoir d'information vis-à-vis des actionnaires. Ainsi, pratiquement aucune information n'est communiquée concernant la composition et le fonctionnement du Conseil de Surveillance et la rémunération des dirigeants mandataires sociaux. Cela n'est pas acceptable et nous recommandons donc l'opposition à l'approbation des comptes sociaux (résolution 1).
La Société soumet au vote de l'assemblée générale extraordinaire deux augmentations de capital avec et sans DPS dont le plafond, représentant presque 2000% du capital social actuel, ce qui excède très largement nos recommandations. La Société ne précise pas que ces augmentations de capital s'inscrivent dans le cadre d'un projet spécifique, ce qui ne permet donc pas de justifier des autorisations pour un tel montant.
Il est aussi proposé au vote de cette assemblée générale une résolution d'augmentation de capital au bénéfice des salariés de la Société, dont le plafond est raisonnable. Proxinvest, considérant que l'actionnariat salarié est souhaitable, recommande aux actionnaires d'approuver cette résolution.
